LETS Affiliate & Influencer Agreement – Terms & Conditions
Certification authorizes you to teach students. It does not authorize you to train instructors. Train-the-trainer requires the LETS Advanced Instructor Training program.
All Bracelets must be sourced directly from LETS. Making, replicating, or sourcing your own is not permitted.
Use LETS materials as provided, follow branding guidelines, and use the LETS name and logo only as permitted.
Submit student assessments and class data by the last day of the following month. LETS will send yearly aggregated global data to instructors by the first quarter of each year.
If you act for an organization, you confirm authority to bind the organization and the organization is also bound.
You must protect LETS intellectual property and student data.
Violation can lead to termination of certification.
This LETS Certified Instructor Agreement (the "Agreement") is entered into this 09/13/2025 , by and between LETS, a U.S.-based 501(c)(3) nonprofit corporation LETS, and ("Instructor" or "Organization"). NOW, THEREFORE, LETS and the Instructor (the "Parties"), in consideration of the mutual promises and obligations contained herein, agree as follows:
1.1 Program means the LETS Instructor Training Program and related initiatives.
1.2 Materials means any and all curriculum, slides, handouts, workbooks, calendars, assessments, administrative tools, and documentation provided by LETS.
1.3 Bracelets means LETS Lunar Essential Tracker System bracelets provided by LETS.
1.4 Marks means the names, logos, and trademarks of LETS.
2.1 LETS shall provide the Instructor with access to the Program and related Materials in the language purchased.
2.2 LETS shall make available to the Instructor or the Instructor’s Organization Bracelets at fifty percent (50%) or more discount off LETS’ then-current retail price (the "Instructor Discount"), subject to availability of supplies.
2.3 LETS reserves the right, in its sole discretion, to adjust, suspend, or eliminate the Instructor Discount at any time with written notice if deemed necessary for the best interests of LETS or the communities LETS serves.
2.4 LETS will provide reasonable Program support and, each year by the end of the first quarter, an aggregated global impact summary compiled from submitted data.
3.1 The Materials are licensed, not sold. LETS grants the Instructor a limited, non-exclusive, non-transferable, revocable license to use the Materials solely to teach students within the Program and in the language purchased.
3.2 The Instructor shall not copy, modify, translate, create derivative works from, or distribute the Materials except as expressly permitted in this Agreement.
3.3 All right, title, and interest in and to the Materials, the Program, the Bracelets, and the Marks remain with LETS.
4.1 The Instructor shall only share Materials with individuals who have been fully trained through the Program, including translators trained for program delivery. Certification permits the Instructor to teach students only and does not authorize training of instructors. Train-the-trainer activity requires completion of the LETS Advanced Instructor Training program.
4.2 The Instructor shall follow all LETS marketing and branding requirements and shall use the Marks only as permitted by LETS written guidelines.
4.3 The Instructor shall not distribute Materials to third parties not directly related to classes taught by the Instructor.
4.4 The Instructor shall ensure that any Bracelets purchased under the Instructor Discount are used exclusively in Program classes and provided to at-risk students or communities free of charge or at a minimal cost-recovery fee, in order to create value, commitment, and encourage daily use.
4.5 The Instructor shall complete LETS assessment forms and submit all required data to LETS for education and tracking purposes. All data must be submitted by the last day of the month following collection. If the Instructor uses their own data collection system, they must still provide full student assessments and class data to LETS in a format acceptable to LETS. LETS commits to sending yearly aggregated global data back to all Instructors by the first quarter of each year.
4.6 The Instructor shall respect all individuals and communities taught and commit to maintaining integrity, follow-up, and, when possible, sustainability of the Program.
4.7 The Instructor shall present all Materials in a manner that upholds the mission, purpose, and model of LETS.
4.8 The Instructor shall not manufacture, replicate, source, or distribute Bracelets or any variation outside of those provided directly by LETS. All Bracelets must be sourced exclusively from LETS unless LETS provides prior written approval.
4.9 If the Instructor is enrolling or acting on behalf of an organization, the Instructor represents and warrants authority to bind the organization. In such cases, the organization, including its leadership, is bound by this Agreement.
4.10 The Instructor shall comply with all applicable laws and regulations, including laws related to privacy, data protection, and child protection.
5.1 Certification becomes effective upon acceptance of this Agreement and remains in effect while the Instructor is in good standing under the Program.
5.2 LETS may require periodic refresher training or updates to maintain certification. If required, the Instructor agrees to complete such training within the timeline set by LETS.
5.3 LETS may suspend or revoke certification for non-compliance, including failure to submit data, misuse of Materials, or breach of this Agreement.
6.1 During the term of this Agreement and for twenty-four (24) months following termination, the Instructor shall not create, market, or deliver a program or bracelet that is materially similar to or derived from the Program, the Materials, or the Bracelets. This clause does not restrict the Instructor from teaching general health education that is not based on LETS Materials.
6.2 The Instructor shall not provide train-the-trainer services related to cycle education using LETS methodology or Materials except through the LETS Advanced Instructor Training program or with prior written consent from LETS.
6.3 The Instructor shall not circumvent LETS by sourcing or attempting to source Bracelets or materially similar tools from third parties.
7.1 The Instructor shall maintain confidentiality of all LETS proprietary information, including curriculum, Materials, assessment data, and non-public information relating to LETS operations or beneficiaries.
7.2 The Instructor shall protect student data and comply with applicable privacy and data protection laws. The Instructor shall use reasonable safeguards to store and transmit data and shall notify LETS promptly of any suspected breach affecting Program data.
The Instructor acts as an independent contractor. Nothing in this Agreement creates a partnership, joint venture, franchise, or employment relationship between the Parties. The Instructor has no authority to bind LETS.
LETS may terminate this Agreement and revoke certification upon written notice if the Instructor breaches any material provision, including unauthorized bracelet activity, misuse or distribution of Materials, failure to comply with assessment and reporting, or violation of Sections 3, 4, 6, or 7.
The Instructor agrees to indemnify, defend, and hold harmless LETS, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees, arising out of or in connection with the Instructor’s breach of this Agreement, unauthorized use or distribution of Materials or Bracelets, or any negligent or intentional act or omission of the Instructor in connection with the Program.
The Instructor may not assign or transfer this Agreement, or any rights or obligations hereunder, without the prior written consent of LETS. LETS may assign this Agreement to a successor nonprofit or affiliate as part of organizational restructuring.

This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee, United States of America, without regard to conflict of law principles. The Parties consent to the exclusive jurisdiction and venue of the state or federal courts located in Tennessee.
14.1 This Agreement constitutes the entire agreement between the Parties regarding its subject matter and supersedes all prior discussions and agreements. Any amendments must be in writing and accepted by LETS.
14.2 No waiver of any provision is effective unless in writing.
14.3 If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect.
By digitally signing or checking the agreement box at checkout, the Instructor, and any organization the Instructor represents, acknowledges and agrees to be bound by this Agreement.
